These Terms and Conditions establish the rules governing access to fusionfills.com and the purchase of Products through our website.

Please review these Terms and the supporting policies applicable to your purchase before submitting an Order. We recommend keeping a copy for future reference.

1. Company Information

Throughout these Terms and Conditions, the expressions “we”, “us”, “our” and “Seller” refer to FUSIONFILLS.

2. Definitions and Application

For the interpretation of these Terms, the following definitions apply:

Buyer, you or your: Any individual or legal entity submitting an Order. A person purchasing on behalf of an organisation confirms that they have the authority to represent and bind that organisation.

Products: Medical aesthetic, beauty, skincare and related goods made available through our website.

Order: A request to purchase Products submitted through the website or an invoice issued by FUSIONFILLS.

Contract: The legally binding agreement established when an Order is accepted in accordance with Section 4.

Business Buyer: A purchaser acquiring Products for purposes connected with a trade, business or professional activity.

Consumer: An individual purchasing for purposes unrelated to their trade, business or profession, where recognised as a Consumer under applicable legislation.

Priority of Applicable Provisions

Where provisions conflict, the following hierarchy applies:

1. Mandatory requirements of applicable law.

2. Expressly agreed written terms specific to an Order.

3. These Terms and Conditions.

4. Supporting policies.

An expressly agreed Delivery guarantee or commitment to include import duties and taxes cannot be cancelled through a general exclusion appearing elsewhere in our policies.

Any additional terms proposed by a Buyer become applicable only where FUSIONFILLS expressly accepts them in writing.

3. Professional Eligibility and Regulatory Responsibilities

Our website primarily serves licensed healthcare professionals, authorised clinics and businesses legally permitted to purchase the Products concerned.

Products restricted to professional use are not intended for unauthorised personal use or self-administration.

Possession of a training certificate alone does not necessarily provide legal authority to purchase, prescribe or administer a regulated Product.

Responsibilities Before Purchasing

Before submitting an Order, Buyers must verify that the particular Products may legally be purchased, imported, possessed and used in the destination country.

Customers intending to resell or distribute Products must also establish that those activities are lawful.

Because requirements differ between Products and jurisdictions, Buyers must:

• Verify the regulatory classification and authorisation status of the specific Product in the destination country.

• Confirm their legal eligibility to purchase and receive the Product.

• Obtain any licences, prescriptions, import permits or other permissions required for their purchase and intended activities.

• Identify restrictions relating to storage, handling, administration, resale or distribution.

• Seek guidance from the relevant competent authority where requirements are uncertain.

Buyer Declarations

By submitting an Order, you confirm that:

• You have examined the requirements applicable to the Products purchased.

• You possess the qualifications, licences and permissions necessary for your purchase and intended activities.

• Information and documents submitted to FUSIONFILLS are accurate, complete and up to date.

• You will comply with legal requirements applicable to your activities.

• You will promptly notify us of restrictions or changes that may affect lawful fulfilment.

Product Availability and Eligibility Verification

The listing of a Product, availability of a shipping service, successful payment or acceptance of an Order does not establish that the Product has received regulatory approval in the destination country or that its importation or use is permitted.

Approval or availability in one jurisdiction does not automatically establish authorisation in another.

We may request professional registration details, business documentation, import permissions or other relevant supporting information.

Any verification carried out by FUSIONFILLS does not replace the Buyer's responsibility to establish and satisfy applicable requirements.

Where a prescription or verification is legally required before supply, the Order will not proceed until the necessary checks are completed.

We may suspend, reject or cancel an Order where:

• The Buyer's eligibility cannot be confirmed.

• Required documentation is missing or unavailable.

• Information provided is inaccurate or misleading.

• The legality of supply cannot be established.

If a Buyer's failure to comply with an applicable obligation directly causes a delay, refusal, return or other loss, the Buyer may be responsible for reasonable and documented resulting costs, to the extent permitted by law.

Refunds and replacements will be evaluated under the applicable policies, any shipping commitments made for the Order and mandatory legal requirements.

Nothing in this section transfers obligations legally imposed on FUSIONFILLS to the Buyer or removes our responsibility for our own breach.

Where an unrestricted Product is lawfully sold to a Consumer, applicable consumer protections remain available.

Describing a transaction as “professional” does not override the Buyer's actual legal status.

4. Orders and Formation of the Contract

Product listings on fusionfills.com constitute invitations to submit purchase requests rather than unconditional promises to supply.

The ordering process operates as follows:

1. Submitting an Order constitutes the Buyer's offer to purchase the selected Products under these Terms.

2. An automated Order acknowledgement confirms receipt but does not independently constitute acceptance.

3. FUSIONFILLS accepts an Order when we expressly confirm acceptance in writing or dispatch the Products, whichever occurs first.

4. Any legally required eligibility and regulatory checks must be completed before supply.

Before accepting an Order, we may decline it because of insufficient stock, payment difficulties, material listing errors, Delivery restrictions or regulatory requirements.

Where payment has already been received for an Order that we decline, the amount paid will be refunded.

If an ordered Product becomes unavailable, we will explain the available options.

We will not supply a different Product or materially different specification without the Buyer's agreement.

Customers should review their Orders carefully and contact us promptly if corrections are necessary.

5. Product Descriptions and Availability

FUSIONFILLS aims to provide accurate Product descriptions, quantities, specifications and pricing information.

Products supplied must correspond to the descriptions and specifications agreed when the Contract is formed.

Customers should understand that:

• Packaging, labelling and presentation may differ between markets or following manufacturer revisions.

• Such variations must not materially change the agreed Product or compromise mandatory labelling, conformity or safety information.

• Relevant details concerning market-specific versions or reduced remaining shelf life will be disclosed before purchase.

• Product photographs are illustrative, while written specifications and expressly agreed details form part of the Product description.

• Stock availability may change before an Order is accepted.

Regulatory authorisation depends on the individual Product and destination.

FUSIONFILLS will not knowingly fulfil a transaction where supply would be unlawful.

Nothing in these Terms permits the sale or supply of unauthorised or restricted Products in violation of applicable law.

6. Product Prices and Additional Charges

Prices are displayed in the currency shown on the website or specified in the applicable quotation or invoice.

Before an Order is submitted, we will disclose:

• The price of the Products.

• Applicable shipping charges.

• Taxes collected by FUSIONFILLS.

• Any other charges payable directly to us.

Where a charge cannot reasonably be calculated beforehand, the method used to determine it will be explained.

Import duties, destination taxes and customs-clearance fees depend on the selected shipping service, as described in Section 10.

Banks and payment providers may impose transfer charges or currency-conversion fees.

These costs are separate from our Product prices unless expressly agreed otherwise.

Prices may be revised for future transactions.

However, the price of an accepted Order will not be increased without the Buyer's agreement.

If a significant pricing error is identified before acceptance, we will provide the corrected price and allow the customer to proceed or cancel.

7. Payment Conditions

Unless an alternative payment arrangement has been agreed in writing, the full purchase amount must be received as cleared funds before Products are dispatched.

When making payment, customers must:

• Follow the payment instructions issued for the relevant Order.

• Include the correct Order or invoice reference.

• Transfer the full amount payable.

• Avoid deducting bank charges or anticipated store credit unless expressly authorised.

A payment confirmation or transfer receipt may assist verification but does not replace confirmation that the funds have cleared.

Where payment is incomplete or cannot be linked to the relevant Order, processing may be delayed while we seek clarification.

Nothing in this section excludes any right of set-off or withholding that cannot lawfully be restricted.

Bank Transfer Fee Support

FUSIONFILLS may provide store-credit assistance toward eligible bank transfer fees, subject to review and approval.

Requesting Fee Support

To request assistance:

• Submit supporting evidence within 30 days of the transfer.

• Ensure the documentation identifies the transfer amount, date and bank fee.

• Include the corresponding Order or invoice number.

Approved support cannot exceed the eligible transfer fee actually incurred.

Foreign-exchange losses are excluded unless otherwise agreed.

For payments made in currencies other than EUR, eligibility will be assessed using the EUR-equivalent amount recorded for the Order.

Approved assistance is provided as store credit rather than a cash reimbursement.

Any applicable redemption conditions will be communicated when the credit is approved.

This arrangement does not replace or restrict monetary refunds required by law.

8. Our Business Role and Fulfilment Arrangements

FUSIONFILLS is responsible for:

• Operating the online store.

• Processing Orders and confirming payments.

• Providing customer assistance.

• Coordinating fulfilment through relevant suppliers and logistics partners.

We do not manufacture the Products offered through the website or provide clinical services.

Orders may be dispatched from facilities in South Korea or other locations relevant to the transaction.

Fulfilment may involve separate consignments or transportation through regional logistics hubs.

The involvement of independent suppliers, warehouses or carriers does not eliminate our contractual responsibilities or obligations imposed by law.

Responsibilities relating to Product sales, distribution, importation, traceability and safety depend on the actual transaction and supply arrangements.

9. Shipping and Delivery

Available Delivery methods, shipping charges and estimated transportation periods are communicated during checkout, through our Shipping Policy or in a written quotation.

Delivery periods are estimates unless expressly guaranteed.

Where Order processing and transit periods are stated separately, both must be considered when estimating the expected arrival date.

Buyer Responsibilities

Customers must:

• Provide a complete and accurate Delivery address.

• Supply current contact information.

• Monitor available tracking updates.

• Arrange for the shipment to be received.

• Respond reasonably to legitimate requests from carriers and our support team.

• Inform FUSIONFILLS promptly of Delivery difficulties.

We remain available as the customer's contact for assistance with shipment-related problems.

Where stock confirmation, documentation or another decision is required, we may request a response within 24 hours to maintain the anticipated processing schedule.

A delayed response may result in later fulfilment.

Multiple Shipments and Delivery Difficulties

An Order may be divided into separate consignments where appropriate.

Additional shipping fees require the Buyer's agreement before they are incurred.

Where inaccurate Delivery information, unjustified refusal or failure to provide required documentation directly causes additional expenses, we may recover reasonable and documented costs where legally permitted.

Such charges will be explained before arranging a chargeable redelivery.

A carrier tracking status alone does not prevent investigation where Delivery is genuinely disputed.

Mandatory rights relating to delayed or unsuccessful Delivery remain unaffected.

10. Customs Duties, Taxes and Import Requirements

Shipping Services Excluding Import Charges

Where disclosed before purchase, Buyers are responsible for applicable destination customs duties, import taxes and clearance fees that are not included in the Order total.

Shipping Services Including Import Charges

Where the selected shipping service expressly includes customs clearance, duties and import taxes, FUSIONFILLS remains responsible for the services and charges covered by that commitment.

If a carrier requests payment for a charge already included:

• Contact us promptly.

• Provide the payment notice and shipment reference.

• Submit proof of payment if the amount has already been paid.

We will review the request and arrange payment or reimbursement of verified charges covered by the purchased service.

Regulatory Permissions

Before purchasing, Buyers must verify the destination country's import requirements for the specific Products and obtain authorisations legally required from them.

Accurate recipient information and documentation necessary for lawful customs clearance must be provided.

A shipping service that includes customs clearance, import duties or taxes does not constitute Product approval or replace legally required licences, prescriptions or import permits.

Any importer-of-record arrangement must accurately reflect the shipment and comply with applicable law.

FUSIONFILLS remains responsible for its express shipping commitments and obligations legally imposed upon it.

Customs Delays and Refusals

Customs authorities may inspect, delay or refuse shipments.

Where this occurs, we will consider:

• The reason for the customs action.

• Requirements applicable to the Products and shipment.

• The respective responsibilities of the parties.

• The shipping service purchased.

• Any applicable Delivery guarantee.

• Remedies required under applicable law.

Customs intervention does not automatically eliminate refund or replacement rights.

Equally, purchasing a shipping service does not excuse a Buyer from obtaining permissions legally required from them.

11. Product Receipt, Inspection and Storage

Customers should inspect delivered Products promptly for:

• Missing or incorrect items.

• Visible physical damage.

• Broken seals or compromised packaging.

• Other issues affecting Product identity or condition.

Concerns should be reported using the procedures established in our Refund, Return and Replacement Policy.

Where reasonably available, please provide:

• Order number.

• A description of the concern.

• Photographs of the Products and packaging.

• Relevant batch or lot information.

• Date of Delivery.

Affected Products and packaging should be retained for investigation.

Products suspected of being defective, damaged or compromised must not be used or resold.

Prompt notification assists with investigations involving carriers and suppliers.

However, signing for a parcel, opening its outer packaging or failing to discover a hidden defect immediately does not waive rights protected by mandatory law.

Following Delivery, Products must be stored and handled according to their labelling and the manufacturer's requirements.

12. Temperature-Sensitive Products

Products requiring temperature-controlled handling must be packaged and transported in accordance with their documented requirements.

Insulated packaging and cooling materials will be used where necessary.

The condition of an ice pack alone does not determine whether a Product remains suitable for use.

Potential temperature-related problems must be assessed using the relevant Product requirements and available transportation evidence.

Suspected Temperature-Related Problems

If you believe that a Product may have been exposed to unsuitable conditions:

• Separate it from inventory intended for use or resale.

• Continue following its labelled storage instructions.

• Contact FUSIONFILLS promptly with relevant shipment details.

• Do not use or distribute the Product until its suitability has been established.

This section does not remove responsibility for inadequate packaging, unsuitable transportation methods or Products supplied in a compromised condition.

13. Cancellations, Returns, Refunds and Replacements

Our Refund, Return and Replacement Policy explains the procedures and supporting documentation applicable to customer Claims.

Order Changes and Cancellations

Requests to amend or cancel an Order should be submitted promptly.

Once fulfilment has begun, certain changes may no longer be operationally possible.

Applicable statutory cancellation rights remain unaffected.

Product Returns

Returns may be restricted where legally justified by Product condition, broken seals, perishability or another recognised exception.

Classification as a medical, aesthetic or skincare Product does not automatically eliminate all return rights.

Where a Consumer has a statutory right of withdrawal, the applicable period, procedures, return costs and lawful exceptions will be explained in our Refund, Return and Replacement Policy.

For eligible EU distance purchases, this generally includes a 14-day withdrawal period, subject to applicable exceptions.

Rights concerning defective, incorrect or misdescribed Products are separate from voluntary change-of-mind returns.

Refunds and Replacements

• Claims will be assessed under the Contract, applicable policies and mandatory law.

• Store credit will not be substituted for a monetary refund that FUSIONFILLS is legally required to provide.

• Any lawful deduction must have a valid basis and be explained.

• Replacement arrangements must comply with requirements applicable to the Product and destination.

Customers should obtain the correct return instructions before dispatching Products back to us.

An administrative return-authorisation process does not prevent the valid exercise of statutory rights.

14. Product Quality, Professional Responsibilities and Safety

Products supplied by FUSIONFILLS must conform to the Contract and satisfy applicable legal requirements.

Any warranty offered by a manufacturer is additional to rights available against FUSIONFILLS.

Professional and Clinical Responsibilities

FUSIONFILLS does not provide:

• Medical advice.

• Prescription services.

• Clinical training.

• Patient-specific treatment recommendations.

Website descriptions and customer-support communications do not replace professional judgement or official Product documentation.

The treating professional remains responsible for patient assessment, informed consent, lawful administration and appropriate follow-up.

We do not guarantee any particular clinical or aesthetic outcome.

An adverse result does not automatically establish either a Product defect or improper use. Each concern must be assessed using the available evidence.

Product Complaints and Safety Reporting

Suspected Product defects, authenticity concerns and adverse incidents should be reported promptly, together with relevant Product and batch information.

Identifiable patient information should not be submitted unless necessary and through an agreed secure communication channel.

We will cooperate with relevant suppliers and competent authorities where required, including in connection with safety notices and recalls.

Business Buyers must:

• Maintain legally required traceability records.

• Cooperate with applicable investigations and corrective measures.

• Follow relevant recall and safety instructions.

• Stop using or distributing affected Products where required.

15. Ownership and Transfer of Risk

Ownership of Products transfers once payment has been received in full and the Products have been identified to the Contract.

Subject to mandatory legal provisions, the risk of loss or damage passes when Products are physically delivered to the Buyer or their designated recipient.

For Consumer purchases, handing Products to a carrier selected by FUSIONFILLS does not constitute Delivery to the Consumer.

Different arrangements involving a carrier independently commissioned by a Consumer are governed by applicable law.

Transfer of risk does not eliminate rights concerning defects or lack of conformity existing at the time of Delivery.

16. Liability and Responsibility

Each party remains responsible for its own conduct, omissions and legal obligations.

To the extent permitted by law, FUSIONFILLS is not responsible for losses caused by:

• Improper storage or handling following Delivery.

• Product misuse or unauthorised administration.

• Inaccurate or misleading information supplied by the Buyer.

• Failure to obtain permissions legally required from the Buyer.

• Unlawful resale or distribution.

These exclusions apply only to the extent that the relevant conduct caused the loss.

They do not remove responsibility where a breach by FUSIONFILLS contributed to the loss.

Business Buyer Losses

For Business Buyers, indirect or consequential commercial losses are excluded to the extent permitted by law.

This includes indirect losses associated with business interruption or cancelled appointments.

Liability That Cannot Be Excluded

Nothing in these Terms excludes or restricts liability for:

• Fraud or fraudulent misrepresentation.

• Death or personal injury caused by negligence.

• Mandatory Product liability.

• Any other liability that cannot legally be excluded or limited.

These Terms do not remove mandatory consumer protections or our express commitments concerning refunds, replacements and Delivery.

17. Circumstances Beyond Reasonable Control

Performance of our obligations may be affected by circumstances beyond reasonable control, including:

• Severe weather or natural disasters.

• Major transportation disruptions.

• Government restrictions.

• Widespread service interruptions.

• Comparable events that could not reasonably have been prevented.

Where such circumstances affect an Order, we will take reasonable steps to minimise the consequences and communicate material changes.

This provision does not permit FUSIONFILLS to retain payment indefinitely for Products it cannot supply.

Applicable cancellation and refund rights remain available.

18. Promotional Offers and Discounted Orders

Promotions are valid for the advertised period and subject to the conditions disclosed for the relevant offer.

Unless expressly stated otherwise:

• Advertised eligibility requirements and minimum purchase conditions apply.

• Offers depend on available stock.

• Discount codes cannot be combined.

• Requests to modify confirmed promotional Orders may not be operationally possible.

• Refunds for discounted Products are calculated using the amount actually paid, together with any additional amounts refundable under applicable law.

A promotional gift expressly included in an accepted Order forms part of that Order.

Discretionary complimentary items and special requests are not guaranteed unless confirmed.

Periods of high demand may affect processing estimates.

Material changes affecting an Order will be communicated.

Promotional conditions do not remove rights concerning defective Products or other mandatory legal protections.

19. Customer Reviews and Submitted Materials

Customer reviews must accurately reflect genuine experiences.

Content submitted to FUSIONFILLS must not include:

• Threats, harassment or abusive conduct.

• Confidential information.

• Personal information belonging to another individual without appropriate permission.

• Material that infringes third-party rights.

However, reviews will not be removed merely because they express negative opinions, and we will not present reviews in a misleading manner.

By submitting a review directly to FUSIONFILLS, you grant us a non-exclusive, royalty-free permission to reproduce it in connection with our business, subject to applicable privacy and advertising legislation.

We will not materially alter the review's meaning or suggest an endorsement that was not provided.

Reviews submitted through independent platforms remain subject to the rules of those platforms.

Separate permissions will be obtained where required for identifiable photographs, videos or testimonials.

20. Website Use and Intellectual Property

• The resolution you are requesting.

We will review the matter and seek an appropriate resolution.

Disputes may be submitted to a court having jurisdiction under applicable law.

Nothing in these Terms requires a Consumer to surrender mandatory legal protections or the right to bring proceedings before a legally available forum.

23. Amendments and General Contractual Provisions

FUSIONFILLS may revise these Terms and Conditions for future transactions.

The latest version will display its publication or revision date.

The Terms available when an Order was placed will govern that purchase unless an amendment is legally required or expressly agreed by the parties.

Later revisions will not retrospectively remove previously agreed rights.

If any provision is found invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

Failure or delay in exercising a contractual right does not constitute a waiver of that right.

These Terms, the applicable supporting policies and expressly agreed Order-specific provisions collectively form the agreement governing the purchase.

Nothing in this section excludes responsibility for misleading statements or representations where such liability cannot legally be excluded.
